# Terms of Service

> The conditions, rights, obligations and billing rules for using OpenPAI

  These Terms of Service (the "**Terms**") are an agreement between you and OpenPAI ([openp.ai](https://openp.ai), "**we**", "**us**", "**the platform**") governing your use of the platform's services. Please read them carefully before use.

## 1. Acceptance of terms

By registering an account, accessing or using the OpenPAI website, console, API endpoints and related tools (collectively, the "**Service**") in any way, you acknowledge that you have read, understood and agree to be bound by these Terms and the [Privacy Policy](/en/legal/privacy). **If you do not agree to these Terms, do not use the Service.**

If you use the Service on behalf of an organization, you represent and warrant that you are duly authorized to bind that organization to these Terms.

## 2. Service description

OpenPAI is a **large-model API aggregation gateway** that forwards your requests, through a unified interface, to upstream model providers such as OpenAI, Anthropic and Google, and provides billing, quota and key management capabilities.

* We **do not own or develop** the upstream models; a model's capabilities, availability and output quality are determined by the corresponding upstream provider;
* The available model list, billing multipliers and features may change as upstream policies change, subject to the live display in the console.

## 3. Account registration & security

* You must provide true, accurate and complete registration information and keep it up to date;
* You are responsible for all activity under your account and **must safeguard your login credentials and API keys**;
* An account is intended for use by a single entity in principle; for multi-person collaboration, create separate tokens per user and allocate quota;
* If you discover any unauthorized use or security vulnerability, notify us immediately and take protective measures (such as disabling a leaked key).

## 4. Acceptable use policy

You agree **not** to use the Service for any of the following:

* Violating any applicable laws or regulations, or infringing others' intellectual property, privacy, reputation or other lawful rights;
* Generating or disseminating illegal, violent, terrorist, pornographic (especially involving minors), fraudulent, hateful, harassing or discriminatory content;
* Conducting cyberattacks, unauthorized access, scraping, reverse engineering, or interfering with or disrupting the normal operation of the Service;
* Circumventing billing, quota, rate limits or other technical and security measures;
* Reselling or sublicensing the Service's capabilities without our written permission, or providing keys to unauthorized third parties;
* Submitting others' personal information or regulated sensitive data that you are not authorized to process;
* Violating the respective usage policies of the upstream model providers.

We may restrict, suspend or terminate the Service for conduct that violates the above; see [Section 13](#13-account-suspension-and-termination).

## 5. Top-ups, billing and refunds

    The Service is **billed by usage**, with price = upstream published price × multiplier × exchange rate. The specific multipliers and unit prices are subject to the live display on the Console **Models** page. See [Billing](/en/pricing/billing) for details.

    You can add credit to your account through the channels the console supports (WeChat, Alipay, Stripe, crypto, etc.). Credit is used to offset subsequent call charges.

    * **Unspent within 30 days**: refundable to the original payment method, minus payment-channel fees;
    * **Over 30 days**: cash refunds are no longer supported, but the balance can continue to be used for the Service;
    * Crypto top-ups and redemption codes: no cash refund.

    Multipliers and prices may change as upstream policies change. Price changes are announced in advance; **orders already generated are settled at the multiplier in effect at call time**.

## 6. Model availability & changes

* Upstream vendors may add, change or retire models. When a model is retired, we will make reasonable efforts to announce it in advance;
* For service interruptions or quality fluctuations caused by uncontrollable factors such as upstream faults, rate limiting or policy changes, we will do our best to mitigate but **do not warrant the conduct of the upstream**.

## 7. Intellectual property

* The intellectual property of the platform's website, console, documentation, trademarks, logos and related software belongs to us or the respective rights holders;
* Without written permission, you may not copy, modify, distribute or otherwise exploit the protected content above;
* These Terms grant you no intellectual property rights beyond those necessary for normal use of the Service.

## 8. User content & output

* **Your input**: you are responsible for the request content (prompt and accompanying data) submitted to the Service, and you warrant that you have the lawful right to submit and process it;
* **Model output**: subject to these Terms, applicable law and the upstream usage policies, you may use the content returned by the model within the scope permitted. Different upstreams may have different ownership and usage restrictions for output content, subject to the respective upstream terms;
* You should assess the suitability of output content yourself and are responsible for decisions made based on the output and the resulting consequences.

## 9. Third-party services

The Service relies on third parties such as upstream model providers, payment institutions, sign-in providers and cloud infrastructure. Your use of these third-party services is also subject to their respective terms and policies. We are not responsible for the conduct, availability or content of third-party services.

## 10. Service availability

* We strive to keep the Service running stably, but **do not guarantee that it will be uninterrupted, error-free or absolutely secure**;
* We may temporarily interrupt the Service for maintenance, upgrades, security or force majeure, and will make reasonable efforts to give advance notice;
* Except where a separate written service-level agreement (SLA) applies, the Service is provided on an **"as-is" and "as-available"** basis.

## 11. Disclaimer

  Model output is generated by AI and **may be inaccurate, incomplete, outdated or misleading**. The platform makes no express or implied warranty as to the accuracy, reliability or suitability of the output. Do not use the output as professional (legal, medical, financial, etc.) advice; have a human review it in critical scenarios.

To the maximum extent permitted by applicable law, the Service and all its content are provided "as is", and we make no express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement.

## 12. Limitation of liability

To the maximum extent permitted by applicable law:

* We are not liable for any indirect, incidental, special, punitive or consequential damages (including loss of profit, data or goodwill);
* Our aggregate liability to you for the Service **shall not exceed the total fees you actually paid to the platform in the 3 months preceding the event giving rise to the claim**.

## 13. Account suspension and termination

* If you violate these Terms, the acceptable use policy or applicable law, we may restrict, suspend or terminate your account without prior notice;
* You may apply to delete your account at any time via the console; the balance is handled per the refund rules in [Section 5](#5-top-ups-billing-and-refunds);
* After account termination, the provisions of these Terms that by their nature should survive (such as intellectual property, disclaimer, limitation of liability and dispute resolution) remain in effect.

## 14. Indemnification

You agree to indemnify and hold us and our affiliates harmless from any claims, losses, liabilities or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, misuse of the Service or infringement of third-party rights.

## 15. Changes to the terms

We may revise these Terms from time to time. Material changes will be indicated via site announcements, console notifications or email. Changes take effect upon publication, and **your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms**.

## 16. Governing law & dispute resolution

The formation, validity, interpretation of these Terms and the resolution of disputes are governed by the laws of the relevant jurisdiction. For disputes arising from these Terms or the Service, the parties shall first seek to resolve them amicably; failing that, they shall be submitted to a body with jurisdiction.
